TRANSPORT CONDITIONS

VM Sped s.r.l.s.

 

1. Legal framework

 

1.1.

All relationships arising from the transport contract between VM Sped s.r.l.s. (hereinafter “Principal”) and the carrier are governed by:

 

– for international transport, the CMR Convention

– for matters not covered by the CMR, by the Italian Civil Code

 

For domestic transport, Italian law and the Civil Code apply.

 

1.2.

The carrier’s liability is governed by the mandatory provisions of the CMR Convention and, for domestic transport, by applicable Italian law.

 

The Principal’s liability is limited to 10 times the freight value, except in cases of willful misconduct or gross negligence.

 

2. Conclusion of the transport contract

 

2.1.

The contract is concluded upon written confirmation of the transport order by the carrier within 2 hours of receipt.

 

After this period, the Principal is no longer bound.

 

2.2.

If the carrier presents the vehicle for loading without written confirmation, the contract is deemed accepted under the Principal’s terms.

 

2.3.

The carrier undertakes to perform the transport with professional diligence, using suitable vehicles and ensuring delivery in good condition.

 

2.4.

The carrier may not subcontract without prior written authorization.

 

Violation results in a penalty equal to 10 times the freight amount, without prejudice to further damages.

 

3. Carrier insurance

 

The carrier must have valid liability insurance (RCV), covering loss, damage, and theft.

 

Proof must be provided upon request.

 

4. Technical suitability

 

The carrier must use suitable vehicles and equipment and qualified personnel.

 

5. Loading control

 

The driver must verify goods condition, packaging, and documents.

Any issues must be noted on the CMR.

 

6. Information duty

 

The carrier must inform the Principal about loading, transport progress, and any issues.

 

7. Documentation

 

CMR must be complete, signed, and stamped.

 

8. Transport execution

 

No transshipment or additional goods without authorization.

Safe parking is mandatory.

 

9. Unloading

 

Driver must attend unloading and report issues.

 

10. Freight and payment

 

Payment arises only after:

– correct execution

– delivery without remarks

– receipt of CMR and invoice

 

Payment terms are those stated in the transport order.

Payment will be made only after successful completion and receipt of documents.

 

11. Waiting time

 

Waiting time not attributable to the carrier is not compensated up to 24 hours.

Beyond that, €150 per day will be paid.

 

12. Sensitive goods

 

For high-value goods, the carrier must ensure adequate security measures.

 

13. Non-compete

 

The carrier shall not contact the Principal’s clients directly.

Penalty: 20x freight.

 

14. Penalties

 

Penalty equal to freight for:

– delays

– non-compliance

– incorrect documents

– unsuitable vehicle

 

15. Jurisdiction

 

 

Exclusive jurisdiction: Court of Padua.
